Course Synopsis

The course encompasses the law that applies to business and includes but is not limited to contract, company law, agency, sale of goods, banking, intellectual property, competition law, taxation law, insurance law and Hire purchase law. There is no particular statute that regulates and guides the commercial law practices in Nigeria save for the different statutes that regulate each of the component aspects of law that make up commercial law. The course is intended to provide an understanding of some legal topics from some component aspect that make up commercial law. Beginning with introduction to Nigerian legal system, the course focuses on formation of a contract, content of contract, exclusion clauses, termination of contract and remedies for breach of contract. Formation of a company, registration of companies, comparison between registered companies and other business forms, legal nature of a company, public offers and sale of securities. Nature of a contact of sale of goods, sale and rights of parties, ownership and risk, seller’s obligations as to quality and delivery, hire purchase, documentary transactions and carriage of goods . Formation of agency, authority of an agent, relationship between agent and principal and third party, termination of agency. Nature of insurance contracts, outline of legal principles of insurance. The legal relationship of banker and customer, negotiable instruments; Tax laws in Nigeria.
